These Terms of Use ("Terms") constitute a legally binding agreement between you (hereinafter referred as "you", "your", or "Visitor") and Lastbyte AI Labs Private Limited, a company incorporated under the Companies Act, 2013 and having its registered office in India (hereinafter referred to as "Lastbyte", "worcflow", "we", "us", or "our").

By accessing, browsing, or otherwise using the website located at https://worcflow.ai (the "Website"), including any content, features, materials, documentation, or services made available through the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Notice available at worcflow.ai/privacy, which is incorporated herein by reference.

If you do not agree to these Terms, you must immediately cease all use of and access to the Website.

2.Access to the Website

By accessing or using the Website you represent and warrant that you are of the age of majority in the jurisdiction in which you reside. As a minor, if you wish to access the Website, such use or access shall be made available to you by your legal guardian or parents, who have agreed to these Terms.     To the extent you provide any feedback, suggestions, ideas, or recommendations to Lastbyte regarding the Website or Lastbyte’s offerings ("Feedback"), you hereby assign to Lastbyte all rights, title, and interest in and to such Feedback, and Lastbyte shall be free to use and exploit such Feedback without restriction or compensation to you.

    • Use the worcflow name, logo, trademarks, or service marks in any manner that implies endorsement, affiliation, or sponsorship without Lastbyte's express prior written consent;
    • Frame, mirror, scrape, or data-mine the Website or its Content using automated means without Lastbyte's express prior written authorisation;
    • Remove, obscure, or alter any proprietary notices, legends, or copyright markings on or within the Content.

8.Privacy

Lastbyte's collection, use, storage, and protection of personal data in connection with the Website is governed exclusively by our Privacy Notice available at worcflow.ai/privacy. The Privacy Notice is incorporated into these Terms by reference. In the event of any conflict between these Terms and the Privacy Notice with respect to data protection matters, the Privacy Notice shall prevail.

9.Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW IN NO EVENT SHALL LASTBYTE AI LABS PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE WEBSITE, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF LASTBYTE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    LASTBYTE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE SHALL NOT EXCEED INR ONE THOUSAND (₹1,000).

10.Modifications to the Website and These Terms

    Lastbyte reserves the right, at its sole discretion and without prior notice, to modify, suspend, restrict, or discontinue the Website or any portion thereof including any content, feature, pricing information at any time and for any reason. Lastbyte shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

    Lastbyte reserves the right to amend these Terms at any time. Any amendments shall be effective immediately upon posting of the revised Terms on the Website, accompanied by an updated "Last Updated" date. Your continued use of the Website following the posting of amended Terms constitutes your acceptance of those amendments. It is your responsibility to review these Terms periodically. If you do not agree to the revised Terms, you must immediately cease using the Website.

Lastbyte reserves the right, in its sole discretion and without prior notice or liability, to suspend, restrict, or terminate your access to the Website at any time, including if Lastbyte reasonably believes that you have violated these Terms, engaged in prohibited conduct, or that your continued access poses a risk to the security or integrity of the Website, or any third party.

12.Dispute Resolution, Governing Law and Jurisdiction

    These Terms, and any dispute, controversy, or claim arising out of or relating to these Terms, the Website, or the relationship between you and Lastbyte, shall be governed by and construed in accordance with the laws of India.

    You irrevocably submit to the exclusive jurisdiction of the courts of competent jurisdiction located in Pune in respect of any dispute arising out of or in connection with these Terms or your use of the Website.

13.Electronic Contracting

You acknowledge that these Terms are an electronic contract and constitute a valid and binding agreement between you and Lastbyte. Your access to and use of the Website constitutes your electronic acceptance of these Terms. You waive any right you may have to require an original (non-electronic) signature or delivery or retention of non-electronic records to the extent permitted by applicable law.

14.General Provisions

  1. a)
    These Terms, together with the Privacy Notice, constitute the entire agreement between you and Lastbyte with respect to your access of the Website and supersede all prior and contemporaneous understandings, representations, and agreements.
  2. b)
    If any provision of these Terms is found by a court or arbitral tribunal of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
  3. c)
    Lastbyte's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver by Lastbyte of any breach of these Terms shall be deemed a waiver of any subsequent breach.
  4. d)
    You may not assign, transfer, or sublicense any rights or obligations arising under these Terms without Lastbyte's prior written consent. Lastbyte may freely assign these Terms or its rights and obligations hereunder in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of its assets, without notice to or consent from you.
